Overview:

Welcome to The Beachwood Helix Corporation referred to as "Beachwood" within this document. Our Helix platform is an online Energy Marketplace service.  Please read and understand the following, as this document governs your use of our service.

 

Acceptance of Terms of Use

Please read these terms before using the site.  If you do not agree to these terms, you may not use the site.  Beachwood reserves the right, from time to time, with or without notice to you, to change or update these Terms of Use.  If we make material changes to these terms, we’ll post those changes on beachwoodhelix.com.

 

Fee Agreement

1. Buyers

   • Are responsible for a success fee of 3.0% upon the closure of a deal or listing provided by Beachwood. The success fee will be calculated based on the final transaction closure amount and invoiced separately by Beachwood. Payment of the success fee by Buyer shall not occur prior to the closing of the transaction and shall otherwise occur upon or within three (3) days after the closing of the transaction. 

2. Sellers

   • Are responsible for a $6,000 listing fee and 3% commission fee  when utilizing Beachwood to divest their respective properties unless otherwise agreed under a separate and written agreement.

 

Right to Terminate

We reserve the right to terminate or restrict your use of our service for violation of these terms and conditions, including suspension of services for any perceived or attempted violation of the Terms of Use, or any unauthorized use of the services/platforms.

 

Copyright & Intellectual Property

All Beachwood content, the selection, compilation, arrangement and presentation of all materials, and the overall design of the site are solely owned by Beachwood. Use of our content without our express prior written permission is strictly prohibited.

 

Arbitration Agreement

You and Beachwood agree that any dispute, claim or controversy arising out of or relating in any way to the Beachwood service, including our website, user interfaces, these Terms of Use and this Arbitration Agreement, must be determined by binding arbitration in lieu of the courts of general jurisdiction. By agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Beachwood each waive the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this Agreement and the termination of your Beachwood Helix access.

 

Prior to a demand for arbitration, a written Notice of your claim (“Notice”), must be sent to Beachwood, by certified mail. The Notice to Beachwood should be addressed to: General Counsel, Beachwood, 1900 NW Expressway, Suite 590, Oklahoma City, OK 73118 ("Notice Address").
